GapLap Terms of Use - Subscription

Provider ZOREVIA LIMITED Ι Version v1.5 Ι Revised

These Terms govern access to and use of the GapLap online software service. By creating an account, purchasing a subscription or using GapLap, the Subscriber accepts the Terms of Use and the Privacy Policy and, where Zorevia processes personal data on its behalf, the Data Processing Agreement.

Article 1 - Provider identity and scope

The GapLap application is provided by ZOREVIA LIMITED (“Zorevia”), a company incorporated under the laws of the Republic of Cyprus, with registration number HE 498835, VAT Registration No. CY60409470O, registered office 67 Lemesou, VISION TOWER, 4th Floor, Aglantzia, 2121 Nicosia, Cyprus. Email address support@gaplap.com.

GapLap is an online software as a service, known as SaaS. The Subscriber acquires only a right of remote access to and use of the functions included in its subscription plan. No copy of the software, source or object code is delivered, but only a licence to use GapLap for the agreed period.

The Service is designed primarily for businesses and professionals. A person acting on behalf of an organisation declares that they have authority to bind it. Persons under eighteen years of age may not create a subscription account.

Article 2 - Definitions

Service the GapLap online platform, its functions and the related technical support provided by Zorevia.

Subscriber the natural or legal person that purchases a subscription or in whose name the account operates.

Authorised User any natural person who lawfully uses the Service on behalf of the Subscriber.

User Content any JSON file, text, image, link, technical data, campaign, instruction or other material entered by the Subscriber.

Output any report, preview, suggestion, transformed JSON or other output generated by the Service.

Plan the monthly or annual package, together with the limits, functions and any usage credits displayed on the website or purchase page.

Enterprise Support an additional support service provided only under a separate written agreement and which may include an SLA.

Article 3 - Description of the Service

GapLap is a platform for the stage before distribution of RCS Business Messaging campaigns. It enables JSON import or pasting, provider schema recognition, previews in iOS and Android environments, technical validation, compatibility checks, deterministic transformation between provider schemas, JSON export and optional optimisation of titles or descriptions using artificial intelligence.

GapLap does not transmit live RCS traffic, does not send messages to end recipients and is not a telecommunications network, messaging gateway or routing service. The Subscriber delivers the final material to its chosen RCS provider and remains responsible for the campaign, its distribution and compliance.

Functions, usage limits, artificial intelligence credits, number of users, limits on stored projects and supported providers may vary by Plan. The description displayed at purchase forms part of the subscription agreement.

Article 4 - RCS Providers - Technical specifications

GapLap may check or transform campaigns in relation to the schemas of Google RBM, Infobip, Sinch, Syniverse, Vonage, Link Mobility, Twilio, Bandwidth, MessageBird or Bird, Gupshup and CM.com, as well as other providers that may be added. The availability of functions for each provider is displayed within the Service.

Third-party names and trademarks are used exclusively for technical reference, comparison and compatibility. There is no cooperation, authorisation, approval, certification, sponsorship or corporate affiliation between Zorevia or GapLap and RCS providers, unless expressly announced otherwise.

Providers’ specifications and capabilities may change without notice. Zorevia periodically reviews the compatibility matrix, but does not guarantee that every rule, preview, report or output reflects at all times the latest implementation of each provider, network, device or operating system. Before live distribution, the Subscriber must verify the Output with the relevant provider.

Article 5 - Account - authorised users

The Subscriber provides accurate, complete and up-to-date account details. For the issuance of a billing document, it provides the necessary business and tax details, such as business name, address, country and VAT number or other tax identifier.

The Subscriber protects login credentials, restricts access to its Authorised Users and is responsible for their use of the account. It immediately notifies Zorevia at support@gaplap.com of known or suspected unauthorised access.

Authorised Users may not exceed the number or scope of access under the Plan. The account may not be sold, rented, shared publicly or used by an unauthorised third party.

Article 6 - Subscriptions, taxes, payment

The Service is provided under a monthly or annual Plan. All payments are made in euros. Current prices are displayed on the website or purchase page and are not incorporated numerically into these Terms.

Applicable VAT and other taxes are added to prices, where required. Tax treatment is determined according to the Subscriber’s details, the place of supply and applicable legislation and is displayed at purchase and/or on the billing document.

The subscription is prepaid for the entire selected period. Payment is processed through Stripe or another payment provider displayed at purchase. Zorevia neither receives nor stores full card details when they are entered directly in the payment provider’s secure environment.

If payment fails, Zorevia may retry the charge, request another payment method or restrict or suspend access after reasonable notice. The Subscriber remains responsible for overdue amounts.

Article 7 - Automatic renewal, cancellation

Each monthly or annual subscription automatically renews for a new period of equal duration and is charged to the designated payment method, unless the Subscriber cancels the next renewal in time.

Notice of cancellation must be received at least thirty calendar days before the next renewal date. Cancellation is submitted through the account function, where available, or to subscriptions@gaplap.com. Zorevia sends confirmation of receipt.

If notice is submitted later, the subscription renews for one further corresponding monthly or annual period and cancellation takes effect at the end of the new period. This rule also applies to monthly subscriptions, so the Subscriber must take account of the thirty-day deadline from commencement or the previous renewal.

Following timely cancellation, access continues until the end of the period already paid for. No pro rata refunds are made for unused time, credits or functions, unless required by mandatory law or expressly agreed otherwise.

Article 8 - Support maintenance

Basic technical support is provided by email at support@gaplap.com from Monday to Friday, 09:00 to 18:00 Cyprus time, excluding official public holidays in the Republic of Cyprus. Response times depend on severity, complexity and the Plan and do not constitute a guaranteed SLA.

An SLA or other guaranteed availability or response commitments are provided exclusively under Enterprise Support and only pursuant to a separate written agreement. In the event of a conflict, the specific agreement prevails only for the matters it regulates.

Zorevia may carry out scheduled or emergency maintenance, updates and security work. Where practicable, it provides timely notice of scheduled downtime expected to have a material impact.

Article 9 - Intellectual and industrial property

All intellectual and industrial property rights in GapLap, the software, code, architecture, name, logo, domain, interfaces, documentation, provider capabilities matrix, downgrade and transformation engine, tests and know-how belong to the lawful rights holder.

Zorevia has been granted an exclusive, worldwide licence of indefinite duration for the operation, hosting, distribution, promotion, sale of subscriptions and general commercial exploitation of GapLap, as well as for administrative, accounting, operational and transactional support for its provision and the granting of limited rights of use to Subscribers.

For the duration of the paid subscription, Zorevia grants the Subscriber a limited, revocable, non-exclusive, non-transferable and non-sublicensable right of access to and internal professional use of the Service, exclusively in accordance with the Terms and the Plan.

  • Copying, disclosure or exploitation of the code, transformation rules, capabilities matrix or any other protected element of GapLap is prohibited.
  • Reverse engineering, decompilation, attempts to extract source code, circumvention of technical restrictions or creation of a competing product based on the Service are prohibited, to the extent that the restriction is permitted by law.
  • Removal or alteration of rights notices, trademarks or technical protection mechanisms is prohibited.

Article 10 - User Content - Outputs

User Content remains owned and/or lawfully controlled by the Subscriber. The Subscriber grants Zorevia only the non-exclusive and limited licence for processing, reproduction in technical memory, transformation and transmission necessary to perform the selected functions, ensure security, provide support and comply with the law.

The Subscriber may use Outputs generated from its own User Content for its lawful business purposes. This right does not transfer any rights in the software, methods, tools, compatibility matrix, transformation engine or know-how used to generate them.

The Subscriber is solely responsible for User Content and declares that it has every necessary right, licence, authorisation, lawful basis and consent for its collection, entry, processing, transformation, export and use. Zorevia does not proactively check its lawfulness and/or accuracy.

Zorevia does not acquire an independent copy of User Content for its own commercial purposes. The original file entered for immediate processing is not retained as a separate copy after completion of the function. If the Subscriber uses a project storage function or automatic draft saving is operating, the project content is retained in its account until deletion or expiry as described in the Privacy Policy.

Article 11 - Personal data - Processing Agreement

For account, subscription, billing, support and security data, Zorevia acts as controller in accordance with the Privacy Policy.

For any personal data included in User Content, the Subscriber acts as controller or, where acting for its client, as processor. Zorevia acts correspondingly as processor or sub-processor and processes the data only on the basis of documented instructions and the applicable Data Processing Agreement.

The Subscriber must not enter special categories of data, criminal conviction data, full card details, passwords or other high-risk data. It must not submit personal data to an artificial intelligence function unless specifically agreed and the required safeguards are applied.

The Data Processing Agreement forms part of the subscription relationship where applicable. In the event of a conflict concerning processing of personal data on behalf of the Subscriber, the Data Processing Agreement prevails.

Article 12 - Artificial intelligence functions

Optional artificial intelligence functions send input through Lovable AI Gateway, which forwards it to Google Gemini. Depending on the selected function, input may include titles, descriptions and technical instructions; AI Fix JSON may send the full campaign JSON, not only title or description text. The Subscriber must remove names, contact details and other identifying data before activating the function and must not submit personal data unless specifically agreed and the required safeguards are applied.

Any personal-data screening is a limited safeguard and does not detect every instance or replace the Subscriber’s obligation to review and remove personal data before submission. Zorevia does not use User Content to train its own models. Vendor retention, model-training use and contractual safeguards depend on the applicable Lovable and Google services, terms and account configuration; no verified vendor no-training assurance is given here.

Artificial intelligence suggestions are automated aids and may be inaccurate, incomplete, inappropriate or unoriginal. The Subscriber checks them before use and remains responsible for the final content, its lawfulness, accuracy and suitability.

Article 13 - Permitted use

The Subscriber uses the Service only for lawful purposes and in accordance with the Terms, technical instructions and the Plan. In particular, the following are prohibited:

  • entering or generating unlawful, misleading, defamatory, threatening, abusive or offensive content
  • infringement of intellectual property, trademark, privacy, personal data, confidentiality or other third-party rights
  • preparing or facilitating unsolicited communications, spam or direct marketing without the required lawful basis, information and opportunity to object
  • introducing malicious code, excessive automated use, testing vulnerabilities without permission or interfering with the operation or security of the Service
  • accessing another user’s data, impersonation or attempting to circumvent limits, charges, credits or access controls
  • using the Service to develop, train or evaluate a competing product without prior written permission.

Article 14 - Confidentiality

Each party protects the other party’s non-public business, technical and commercial information with at least the same care it applies to its own corresponding information and no less than reasonable care. It uses such information only to perform the subscription relationship and discloses it only to persons who need to know it and are bound by the specified confidentiality obligations.

The obligation does not cover information that was lawfully known without restriction, became public without breach, was lawfully received from a third party or was independently developed. Mandatory disclosure is permitted only to the extent required and, where permitted, following timely notification to the other party.

Article 15 - Third-party providers - External services

GapLap’s operation relies on third-party services, including Supabase for authentication, database and edge functions, Stripe for subscription payments, and Lovable AI Gateway followed by Google Gemini for optional artificial intelligence functions. Lovable is a separate relevant service in this AI data path; AI Fix JSON may transmit the full campaign JSON through the gateway to Gemini, subject to Article 12’s restrictions on personal data. These services are also governed by their terms and technical requirements, of which you have been informed.

Zorevia selects and manages providers with reasonable care, but does not fully control the availability, changes or errors of independent third parties. It may replace a provider where required for security, operation, compliance or business continuity, with the notification required by law or the Data Processing Agreement.

Article 16 - Infrastructure security and Backups

The main application and database infrastructure is hosted within the European Union, in a recognised data centre in Frankfurt, Germany. Zorevia implements measures proportionate to the risk, such as TLS in transit, secure password hashing, access control, Row Level Security, API authentication, rate limiting and event logging.

The Service may create technical backups and restore points for business continuity. These copies do not constitute a repository for the Subscriber, are not available for individual recovery on request and are deleted or replaced according to the technical retention cycle. The Subscriber keeps its own copies of original files and Outputs.

No system is completely secure or uninterrupted. The Subscriber implements appropriate security for its devices, accounts and data and immediately informs Zorevia of any incident that may affect the Service.

Article 17 - Suspension - Termination

Zorevia may immediately suspend all or part of access where reasonably necessary to address a security risk, unlawful use, infringement of third-party rights, unpaid debt, exceeding limits or an order of a competent authority. Where feasible, it informs the Subscriber of the reason and the possibility of lifting the suspension.

Either party may terminate the agreement for a material breach that is not remedied within fifteen days of written notice. Zorevia may terminate immediately for unlawful use, a serious security risk, fraud, repeated breach or a breach that cannot be remedied.

Upon expiry or termination, the right of access ceases. The Subscriber must export its Outputs and stored projects in time. Data are deleted in accordance with the Privacy Policy and the Data Processing Agreement, except for data that must be retained by law or for lawful claims.

Article 18 - Warranties - Disclaimer of liability

Zorevia provides the Service with reasonable professional care. Apart from an express Enterprise Support SLA, the Service is provided on the basis of available functionality and without a guarantee of uninterrupted or error-free operation, a specific response time or ongoing compatibility with every provider, device or operating system.

GapLap is a technical tool for previewing, validation and transformation. It does not provide legal, regulatory, tax or professional advice and does not guarantee that a campaign complies with every obligation concerning advertising, consumers, electronic communications, personal data or third-party rights.

Zorevia does not guarantee delivery, display, acceptance or commercial performance of a campaign. The Subscriber checks the Output, performs tests with the actual provider and approves the final material before any live use.

Article 19 - Limitation of Liability

To the maximum extent permitted by law, Zorevia is not liable for indirect, incidental or consequential damage, loss of profit, revenue, business opportunity, reputation, data or anticipated savings, nor for claims arising from live transmission of a campaign, action by an RCS provider or failure by the Subscriber to verify the output.

Zorevia’s total aggregate liability arising from or in connection with the subscription, irrespective of legal basis, does not exceed the full price of one annual subscription to the corresponding Plan applicable at the time of the incident, excluding VAT and other taxes. For a Subscriber on a monthly Plan, the limit equals twelve times the applicable monthly price of the Plan, excluding VAT and other taxes.

The limitation does not apply to liability that cannot be excluded or limited under mandatory law, particularly in the case of wilful misconduct, nor does it restrict rights that the law renders non-waivable.

Article 20 - Agreed compensation payable by the Subscriber

If the Subscriber breaches its obligations concerning the lawfulness of User Content or the campaign, personal data and electronic communications, intellectual or industrial property rights, confidentiality, security, prohibited use or third-party rights, it owes Zorevia the full agreed lump-sum compensation, at least equal to twice the annual price of the corresponding Plan, excluding VAT and other taxes.

For a Subscriber billed monthly, the annual price for calculating compensation means twelve times the monthly price applicable at the time of the breach. The compensation is payable in full and does not constitute a maximum limit reducible at the Subscriber’s discretion.

The parties acknowledge that the amount constitutes a reasonable advance estimate of the administrative, technical, legal and commercial burden that such a breach may cause and is not a penalty. Application of the clause is subject to mandatory law, including section 74 of the Contract Law of the Republic of Cyprus, Cap. 149.

Payment of compensation does not prevent Zorevia from seeking cessation of the breach, interim relief or other non-monetary relief, nor does it affect rights and claims that cannot be contractually limited.

Article 21 - Force majeure

Neither party is liable for delay or inability to perform due to an event beyond its reasonable control, such as a natural disaster, war, large-scale cyberattack, network or power outage, act of an authority, labour dispute or material failure of a critical third-party provider. The affected party notifies the other without undue delay and takes reasonable measures to mitigate the consequences.

Article 22 - Changes to the Service and the Terms

Zorevia may improve, modify or discontinue functions for technical, security, compliance or product development reasons. If a change materially reduces a core paid function, Zorevia provides reasonable prior notice and the remedies required by law or any specific agreement.

Zorevia may amend the Terms. The new version is published with an effective date. A material change is notified before its implementation. If the Subscriber disagrees, it may cancel the next renewal in accordance with Article 7, unless the change is immediately required by law or for security.

Article 23 - Consumers

If Zorevia permits a natural person to purchase a subscription for a purpose outside their trade, business, craft or profession, mandatory consumer protection rules apply and prevail over any contrary provision.

Where a right of withdrawal exists, information, the time limit, the method of exercise and its consequences are provided at purchase. Immediate commencement of provision before expiry of the withdrawal period requires the express consent and acknowledgement required by law. The agreed compensation clause in Article 20 applies to a consumer only to the extent that it is lawful, transparent and not unfair.

Article 24 - Governing law, jurisdiction

The Terms and any contractual or non-contractual dispute are governed by the law of the Republic of Cyprus and directly applicable European Union law.

The courts of the Republic of Cyprus have exclusive jurisdiction, subject to mandatory rules giving a consumer the right to bring proceedings before the courts of their place of residence or other non-waivable protection.

Article 25 - General terms

The Terms of Use, and the Privacy Policy - Data Processing Agreement constitute the entire agreement on their subject matter. A specific written agreement prevails only to the extent of an express deviation.

Failure to exercise a right does not constitute a waiver. If a provision is held invalid or unenforceable, it is restricted to the extent necessary and the remaining provisions remain in force. The Subscriber may not assign the agreement without Zorevia’s prior written consent. Zorevia may assign it as part of a reorganisation or transfer of the relevant business activity, preserving applicable rights.

Electronic acceptance and electronic notices have the same effect as written communication, to the extent permitted by law. The English version of these Terms is the controlling version. Translations are informational only, unless a different written agreement or mandatory law provides otherwise.
